ILLUSTRATION SERVICES AGREEMENT
This Agreement is entered into between Melinda Magyar, residing at 2600 Vác, Quell Rudolf utca 10, Hungary, EU VAT number HU55736703 (“Illustrator”), and Client (“Client”).

1. Description
The Illustrator agrees to provide illustration services for the creation of the project outlined above under “Project scope.”
2. Deliverables
Deliverables include high-resolution PNG and JPG files, as well as press-ready PDF files, unless otherwise agreed in writing. Final deliverables will be sent to the Client only after full payment has been received. Until full payment is made, the Client will receive preview versions only.
Source files (including but not limited to layered working files such as PSD, AI, Procreate, or other editable production files) are not included and will not be provided unless explicitly agreed in writing and may be subject to an additional fee.
3. Revisions
The Client is entitled to three (3) rounds of revisions, consisting of:
- One (1) revision during the sketch phase
- Two (2) revisions on the polished/final files
Revisions must remain within the scope of the original project description. Changes that alter the original brief may be considered a new project and quoted separately. Additional revisions beyond those included will incur a fee of $20 per revision round.
4. Deadline
The expected deadline is stated above. If additional revisions or scope changes are requested, the timeline may be extended accordingly. The Illustrator will inform the Client of any necessary changes to the delivery schedule.
Payment
1. Fees
The Client agrees to pay the Illustrator the total project fee stated above via PayPal, Wise, or bank transfer, as follows:
- 50% deposit before project start
- 50% final payment upon project completion and before final files are delivered
Work will not begin until the deposit has been received.
2. Expenses
Any additional expenses (e.g., special materials, fonts, third-party assets, printing tests, or external services) must be discussed and approved by the Client in advance.
Ownership and Usage Rights
1. Ownership
The Illustrator retains ownership of all original artwork, including sketches, drafts, and final illustrations, until full payment has been received.
2. Usage Rights
Upon full payment, the Client receives exclusive, worldwide, perpetual usage rights for the purposes defined under “Usage rights” and the project description.
- Promotional rights allow use of the artwork in marketing, advertising, and brand communication, but not for direct resale of the artwork itself.
- Commercial rights apply when the artwork is reproduced in products for sale (e.g., printed in books, prints, merchandise).
The Illustrator retains the right to display the final artwork and preliminary work in their professional portfolio, website, and social media, provided the artwork or character has been officially revealed or published by the Client.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the project and not to disclose such information to third parties without prior consent.
Termination
Either party may terminate this Agreement with written notice. In the event of termination, the Client agrees to compensate the Illustrator for all work completed up to the termination date.
In the event that the Client chooses to cancel or terminate the project after work has commenced, a kill fee will apply to compensate the Illustrator for time spent, concepts developed, and work completed up to the termination date.
The kill fee is structured as follows:
-After concept sketches are delivered: 50% of the total project fee
-After final cover artwork has begun (refinement, coloring, or rendering stage): 75% of the total project fee
Upon payment of the applicable kill fee, the Client does not receive rights to use any preliminary sketches, drafts, or final artwork created prior to termination. All rights remain with the Artist unless otherwise agreed in writing.
The kill fee is non-refundable and must be paid within 7 days of project cancellation.
If the Illustrator is unable to complete the project due to reasons within the Illustrator’s control (excluding force majeure events), the Illustrator will promptly notify the Client and refund any payments received for work not yet completed.
Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of Hungary.
Use of Artificial Intelligence (AI)
The Illustrator confirms that no artificial intelligence (AI) tools, generative software, or AI-generated elements will be used in creating the commissioned work. All artwork will be created by the Illustrator using traditional and/or digital hand-drawing methods.
The Client agrees that no part of the artwork, including drafts or final files, may be uploaded to, processed by, modified with, or used to train any artificial intelligence, machine learning system, or similar technology.
Invoicing and Data Protection
The Client’s name and address are required for invoicing. An invoice will be issued upon received the payment for the deposit, and on the date of project completion. The Illustrator complies with GDPR regulations. Personal data provided by the Client will be used solely for project and invoicing purposes and handled confidentially.
